1. About these terms

1.1 These Terms and Conditions apply to Company Formation Services and any associated services purchased through The Workstation’s Company Formation website.

1.2 In these Terms and Conditions:

  • “We”, “us” or “The Workstation” means The Workstation VOS Ltd.
  • “You” or “the Client” means the individual purchasing or receiving the Company Formation Services.
  • “Company Formation Services” means the services provided to assist you with the incorporation of a company through Companies House.
  • “Address Services” means any Registered Office Address, Director’s Service Address, Business Address or other address-related service supplied as part of your package.
  • “Ongoing Services” means services provided on a continuing subscription basis.
  • “Companies House” means the United Kingdom’s registrar of companies.

1.3 These Terms and Conditions should be read alongside any applicable service-specific terms, package descriptions, order confirmations, pricing information and other information provided during the purchase process.

1.4 Where your package includes ongoing Address Services or other services subject to separate Virtual Office Services Terms and Conditions, those terms will also apply to the relevant services.

2. Formation of the contract

2.1 By placing an order through our Company Formation website, you confirm that you have read and agree to these Terms and Conditions.

2.2 A contract for Company Formation Services will be formed when you have completed the order process, payment has been received or an approved payment arrangement established, all required information has been provided, and required identity and compliance checks have been completed.

2.3 We may delay or decline submission of your incorporation application or activation of associated services until all required information, identity checks and compliance requirements have been completed satisfactorily.

2.4 Ongoing Address Services and other subscription services will be subject to the commencement date and subscription conditions communicated at purchase.

3. Company formation services

3.1 Our Company Formation Services involve preparing and submitting an application to Companies House based on the information and instructions you provide.

3.2 The precise services included in your purchase will be set out in the package description, pricing information, checkout process, order confirmation or other information provided before purchase.

3.3 Depending on the package selected, services may include company incorporation, assistance preparing the incorporation application, submission to Companies House, Registered Office Address, Director’s Service Address, Business Address, business telephone number, business banking referral and other ongoing virtual office or business services.

3.4 We will provide the services included in your selected package in accordance with the information provided at purchase and applicable service-specific terms.

3.5 We do not provide legal, tax, accounting, financial or investment advice.

4. Client eligibility and responsibilities

4.1 You must provide complete, accurate and up-to-date information required for incorporation and associated services.

4.2 You confirm that you are authorised to provide information and instructions on behalf of all proposed directors, shareholders, persons with significant control and other relevant officers.

4.3 You are responsible for checking all information supplied before submission to Companies House.

4.4 You must promptly notify us of changes to information that may affect your application or ongoing services.

4.5 You must ensure that your proposed company and its activities comply with applicable laws and regulations.

4.6 Where you purchase Address Services, you agree to use the address only for the purposes provided, keep information accurate, comply with legal requirements, notify relevant authorities of changes, arrange a replacement address when our service ends, and remove our address from company records, correspondence, websites and other materials when required.

5. Identity verification, AML and compliance

5.1 We may carry out identity verification, anti-money laundering checks and other compliance checks before providing services or submitting an incorporation application.

5.2 You must provide documents and information reasonably required for these checks.

5.3 We may refuse, delay, suspend or terminate services where checks are incomplete, information is inaccurate or misleading, the application presents legal, regulatory or reputational risk, unlawful activity is suspected, or we are required to do so by law.

5.4 We may request additional information or documentation after your initial order where necessary to complete our compliance obligations.

6. Application submission and Companies House

6.1 We will prepare and submit your incorporation application based on the information and instructions you provide.

6.2 You are responsible for ensuring that all information provided is complete, accurate and lawful.

6.3 We are not responsible for delays, rejection or additional costs resulting from incorrect or incomplete information, an unavailable or rejected company name, delays or decisions by Companies House or other third parties, additional checks, failure to respond promptly, or circumstances outside our reasonable control.

6.4 Where Companies House rejects an application or requests amendments, we will explain available next steps where this falls within the purchased service.

6.5 Additional submission, amendment, resubmission, administration or other fees may apply where further work is required. Any additional fees will be communicated where reasonably practicable before they are incurred.

6.6 We cannot guarantee company name availability, application acceptance, a particular incorporation timeframe or future business success.

7. Pricing, first-year prices and renewal fees

7.1 Prices displayed on the Company Formation website for Address Services and other ongoing subscription services represent the price payable for the first 12 months, unless otherwise stated at purchase.

7.2 The first-year price and applicable renewal price will be displayed in the relevant pricing information, package description, pricing tooltip, checkout process, order confirmation or other information provided before purchase.

7.3 Following the initial 12-month period, the service will renew at the applicable renewal price shown in the relevant pricing tooltip or other pricing information.

7.4 You acknowledge that the first-year price and renewal price may differ. By completing your purchase, you agree to pay the applicable renewal price, subject to these Terms and Conditions and applicable law.

7.5 Unless otherwise stated, Address Services and other ongoing services are continuing subscriptions. They will continue after the initial 12-month period and renew at the applicable renewal price until cancelled in accordance with these Terms and Conditions.

7.6 You are responsible for ensuring sufficient funds are available for renewal charges.

7.7 We will provide applicable payment or renewal notifications in accordance with our processes and legal obligations.

7.8 Proposed renewal price changes will be communicated in accordance with applicable terms and legal requirements before the revised price is charged.

7.9 Price changes will not affect the price already paid for the initial subscription period.

7.10 If payment is not received when due, we may suspend or terminate the relevant service in accordance with these provisions.

8. Payment terms

8.1 Company Formation fees and applicable Companies House fees must be paid in accordance with the checkout information.

8.2 Ongoing subscription services will be charged at the frequency and rate specified in the order confirmation or service information.

8.3 Where an ongoing service is paid annually, the initial payment covers the first 12 months unless otherwise stated.

8.4 Renewal payments will be charged at the applicable renewal price.

8.5 If a payment fails or remains unpaid, we may request payment and suspend the affected service until payment is received.

8.6 Suspension or termination does not remove responsibility for outstanding fees properly due.

9. Cancellation, cooling-off rights and refunds

9.1 Cancellation rights depend on the nature of the service, when the contract was formed and whether you requested that services begin before any applicable cancellation period ends.

9.2 Where applicable, you may have statutory cancellation rights under consumer protection legislation.

9.3 If you ask us to begin providing services during an applicable cancellation period, you may be required to acknowledge that services will begin before that period ends.

9.4 Where a service has been fully performed during an applicable cancellation period following your express request and legally required acknowledgement, statutory cancellation rights may be affected, subject to applicable law.

9.5 Formation fees, Companies House fees and other charges will be treated in accordance with applicable law and the circumstances of cancellation, including whether an application has been submitted or services performed.

9.6 We will not exclude or restrict any refund or cancellation right that cannot lawfully be excluded or restricted.

9.7 Cancellation requests must be submitted using the contact details or process specified in the order confirmation or applicable service terms.

9.8 For ongoing Address Services, the effective cancellation date and notice period will be determined under the relevant service terms and information provided at purchase.

10. Services included in your company formation package

10.1 Your package may include additional services provided by The Workstation, as specified in the package description, pricing information, checkout process or order confirmation. These may include Registered Office Address, Director’s Service Address, Business Address, business telephone services, business banking referral and other virtual office or ongoing business services.

10.2 The Workstation will provide included services in accordance with the service description, applicable service-specific terms and details provided at purchase.

10.3 The commencement date, duration, conditions and end arrangements for each additional service will be set out in the package description, order confirmation or relevant service communication.

10.4 Some services may involve third-party providers or partners appointed by The Workstation. Unless otherwise communicated, The Workstation will remain your primary point of contact.

10.5 Additional services may be subject to eligibility requirements, identity verification, compliance checks, operational conditions or separate terms.

10.6 A business banking referral is an introduction only. We do not guarantee bank approval, account opening or provision of any particular banking product.

10.7 Where a service is ongoing, it will continue and renew in accordance with the applicable pricing, payment and cancellation provisions.

11. Ongoing address services

11.1 A Registered Office Address, Director’s Service Address, Business Address or other ongoing address service included in your package is provided by The Workstation as an ongoing subscription.

11.2 The subscription begins on the date specified in your order or service confirmation and continues beyond company incorporation, subject to payment and compliance with these Terms.

11.3 The Address Service is not limited to the incorporation period. Unless cancelled in accordance with these Terms, it will continue and renew after the initial 12-month period at the applicable renewal price.

11.4 The package description, pricing information, checkout process, order confirmation or service communication will specify the initial price, renewal price and applicable conditions.

11.5 You must use the address correctly and keep information supplied to us accurate and up to date.

11.6 You must promptly notify us of changes to your company, directors, business activities or other information affecting eligibility.

12. Cancellation, change of address and Companies House records

12.1 You may cancel an ongoing Address Service by providing notice in accordance with the applicable cancellation and termination provisions.

12.2 When the Address Service ends, you must stop using The Workstation’s address and promptly arrange an alternative address where required.

12.3 If our address is recorded as your company’s Registered Office Address or Director’s Service Address at Companies House, you are responsible for arranging the relevant change with Companies House when the service ends.

12.4 You must submit the appropriate notification or application to Companies House to replace our address with a valid alternative address.

12.5 You are responsible for ensuring that the change has been accepted and recorded by Companies House.

12.6 You must remove our address from stationery, websites, correspondence, invoices, directories, marketing materials, online profiles and any other locations where it is presented as your company’s address.

12.7 You must not continue to represent our address as your Registered Office Address, Director’s Service Address or Business Address after the service ends.

12.8 You must notify The Workstation once the relevant address changes have been completed and provide information reasonably required to confirm that our address is no longer being used.

12.9 You remain responsible for ensuring that your company maintains a valid and compliant Registered Office Address and any other address required by law.

12.10 We do not provide legal, tax or accountancy advice regarding your address obligations.

12.11 Where permitted by law and reasonably necessary to protect our interests, we may notify you that our address must be removed or updated and may take appropriate steps where it continues to be used after the service ends.

13. Mail received after termination

13.1 Correspondence received after the end of your service will be handled under the applicable service-specific terms and arrangements communicated at cancellation.

13.2 You must notify senders of your change of address and arrange for future correspondence to be sent to your replacement address.

13.3 Additional charges may apply for handling, forwarding, return or administration of correspondence received after termination, where permitted and communicated under the applicable terms.

13.4 You remain responsible for ensuring that important legal, statutory, financial and business correspondence is redirected after termination.

14. Changes to services and package content

14.1 Services and benefits included in your package will be those specified at purchase, subject to applicable terms.

14.2 We may update package contents, pricing, service availability or operational arrangements for future purchases.

14.3 Changes to existing subscription services or pricing will be communicated in accordance with applicable terms and legal requirements.

14.4 We will not remove rights or protections that cannot lawfully be removed.

15. Limitations of service and liability

15.1 We will provide services with reasonable care and skill as required by law.

15.2 We are not responsible for delays, rejections or decisions by Companies House, government bodies, banks or other third parties, except where liability cannot lawfully be excluded or limited.

15.3 We are not responsible for losses arising from inaccurate, incomplete or misleading information supplied by you or failure to comply with your responsibilities.

15.4 We do not guarantee company name availability, application acceptance, a particular incorporation timeframe, bank approval or any particular business outcome.

15.5 Any limitation or exclusion of liability applies only to the extent permitted by law and will not exclude liability that cannot legally be excluded or limited.

16. Data protection and confidentiality

16.1 We process personal information in accordance with applicable data protection legislation and our Privacy Notice.

16.2 We may share information with Companies House, identity verification providers, compliance providers, banking referral partners and other relevant third parties where necessary to provide services or meet legal obligations.

16.3 You must have appropriate authority to provide personal information relating to other individuals included in the application.

17. Complaints

17.1 If you are dissatisfied with any aspect of our services, contact us using the details in your order confirmation or on our website.

17.2 We will review and respond to complaints in accordance with our complaints process.

17.3 Where a complaint relates to a third-party provider, we will explain the relevant process and, where appropriate, assist with communication or escalation.

18. Suspension and termination

18.1 We may suspend or terminate services where payment is overdue, compliance checks are incomplete, information is inaccurate or misleading, you breach these Terms, your use presents legal or reputational risk, or we are required to do so by law.

18.2 Where reasonably practicable, we will notify you before suspension or termination and explain any steps required to resolve the issue.

18.3 When an Address Service ends, you remain responsible for removing our address and arranging a valid replacement where required.

18.4 Termination does not automatically update your company information held by Companies House. You are responsible for submitting the appropriate change of address notification and ensuring it is recorded.

19. General terms

19.1 If any provision is invalid, unlawful or unenforceable, the remaining provisions continue to apply.

19.2 A failure or delay in exercising a right does not constitute a waiver of that right.

19.3 These Terms, the order confirmation, package description, service-specific terms, Privacy Notice and expressly referenced documents form the agreement between you and The Workstation.

19.4 These Terms may be updated from time to time. The version applicable to your purchase will be identified in the order confirmation or purchase documentation.

20. Governing law and jurisdiction

20.1 These Terms and Conditions are governed by the laws of England and Wales.

20.2 The courts of England and Wales will have jurisdiction, subject to mandatory legal rights or protections that apply to you.
